Introduction to Our Private Membership Association (PMA)

Definition

A PMA (Private Membership Association) is a group of individuals who come together for a common purpose or interest. It operates based on the right to free association, as protected by the First Amendment of the U.S. Constitution.

Legal Basis

The right to associate freely without governmental interference is upheld by the Supreme Court case Thomas v. Collins, 323 U.S. 516 (1945).

Benefits of a PMA

Mountain Point Lake and Hotsprings PMA aims to create a supportive and enjoyable environment where members can escape the routine of urban life and immerse themselves in the natural beauty of the hot springs. By valuing member feedback and fostering a sense of community, we strive to offer a unique and enriching experience for all our members. We are dedicated to promoting mental health and well-being, providing a place where individuals can find solace and support.

Articles of Association

Article I: Name

The name of this association shall be "Mountain Point Lake and Hot Springs PMA."

Article II: Purpose

The purpose of the association is to provide a meaningful escape from city life, foster a sense of community, and support mental health and well-being among members.

Article III: Membership

Article III: Membership is open to individuals who agree to abide by the association's rules and sign the liability waiver. Invited Members may attend events but do not have hosting privileges. Host Members have the privilege to book and host events at Mountain Point Lake.

Article IV: Governance

The association shall be governed by the founders Josh Davis and Lora Davis. Josh Davis and Lora Davis hold the authority to make decisions regarding the association's policies and operations.

Article V: Dissolution

Josh Davis and Lora Davis, reserve the right to dissolve the organization at any time without warning.

Bylaws

Section 1: Member Responsibilities

• ✔ Respect the privacy of the association and fellow members.
• ✔ Participate responsibly in activities.
• ✔ Contribute to the preservation and beautification of the property.
• ✔ Comply with all association guidelines.

Section 2: Governance

The association is managed by its founders, Josh Davis and Lora Davis, who hold permanent roles not subject to election. They reserve the right to revoke membership at their discretion.
Refunds will be issued for fees tied to future scheduled gatherings in the event of membership revocation.

Section 3: Committees

The founders retain authority over all association operations, including the formation and oversight of committees as needed.

Section 4: Meetings

• ✔ Host Members may schedule and host gatherings as private events for members only.
• ✔ Invited Members may attend gatherings by invitation from a Host Member.
• ✔ Non-members are prohibited from attending gatherings.

Section 5: Amendments

These bylaws may be amended at any time by the founders. Changes will be communicated to members via email.

Section 6: Membership Contributions

Membership contributions are made directly to Crystal Springs Fisheries Inc., which operates a commercial fish hatchery on the property and is also tasked with the significant responsibility of maintaining and improving the entire site. These contributions are separate from the company’s commercial business activities and are used to support property upkeep, environmental stewardship, and long-term development.

Crystal Springs Fisheries Inc.

Crystal Springs Fisheries Inc. retains full discretion over the allocation of contributions, allowing flexibility to address the property’s unique needs. While the intention behind contributions is to support site improvements, there is no obligation to allocate funds toward specific projects.

Kinneret Investments LLC

Kinneret Investments LLC, the property owner, operates as a separate legal entity from Crystal Springs Fisheries Inc. and the PMA. It provides the property for use but assumes no responsibility for the activities or operations of the Private Membership Association.

Crystal Springs Fisheries Inc. has adopted a phased approach to development, prioritizing the careful preservation of the property. This strategy mitigates the risks of overcrowding and environmental impact while ensuring thoughtful improvements over time. Members are encouraged to view their contributions as part of a shared commitment to maintaining the unique character and beauty of Mountain Point Lake.

Membership Agreement

Membership Terms

By joining the Mountain Point Lake and Hot Springs PMA, members agree to the following terms:

1. Privacy: Members agree to keep all association activities and discussions confidential.
2. Conduct: Members will conduct themselves respectfully and responsibly.
3. Contributions: Members agree to make the relevant contribution for their membership tier in exchange for scheduling privileges. Contributions are to be made in increments corresponding to the suggested amount per gathering at the time of scheduling.
4. Liability: Members acknowledge that participation in association activities is voluntary and agree to hold the association harmless for any injuries or damages.
5. Revocation: Members acknowledge that their membership can be revoked at any time for any reason by the founders.
6. Liability Waiver: Members must sign the liability waiver before participating in any association activities.
